2026 Board Elections - Call for Nominations.

BEYOND BANK AUSTRALIA LIMITED

At the conclusion of the 2026 Annual General Meeting of members (AGM), two directors of Beyond Bank Australia Limited (BBA) retire by rotation in accordance with BBA’s Constitution. 

There will be two vacancies on the BBA Board for which members are invited to nominate.  

Retiring director Ms Cynthia Batchelor (member of the Board Risk Committee (BRC) and the Board Governance & Remuneration Committee (BGRC)) has advised she will offer herself for re-election. The Board supports Ms Batchelor’s election. 

Retiring director Mr John Evans (Board Chair and member of the BGRC and Nomination Committee) has advised that he will offer himself for re-election. The Board supports Mr Evans’ re-election. 


Director Cynthia (Cindy) Batchelor

BCom (Accounting/Commercial Law), Grad Dip Business (Human Resource Mgmt), GAICD 
(member of the BRC and the BGRC)

Ms Batchelor joined the Beyond Bank Board in February 2025. 

She has over 30 years’ experience as a senior leader in banking and financial services across frontline, strategy and human resources roles. 

Ms Batchelor has previously held a range of senior executive roles across business banking, not-for-profit and professional services with National Australia Bank Ltd, Australian Red Cross and Pitcher Partners. She is Chair of the Board of Auto & General Insurance Company (having served as a Non-Executive Director for five years) and the Victorian Chapter Chair of Chief Executive Women. She is based in Melbourne, Victoria.  

Ms Batchelor has made a valuable contribution to the Board, including through her roles on the BRC and BGRC.  


Director John Evans

BCompt, ACA, MAICD (Chair of the Board and member of the BGRC and Nomination Committee)

Director Evans was appointed to the BBA Board on 1 October 2022 and as Chair in November 2025. 

He is a former audit and assurance partner with global accounting firm KPMG and has over 40 years’ Australian and international experience across business, finance, assurance and risk management. Throughout his career, he has advised boards and senior executives in the financial services sector, including mutual organisations, on governance, risk, regulatory compliance and financial reporting matters. 

As Chair, Director Evans provides leadership to the Board and brings extensive experience in governance, financial oversight and stakeholder engagement. He is based in Buderim, Queensland.  


Board composition and competencies. 

The Directors critically reviewed the structure, composition and competencies of the BBA Board and its individual directors in 2025. Peer-rated assessments indicate that the Board is collectively and individually rated as ‘expert’ or ‘very strong’ across the core competencies required of boards of banks of similar size and complexity, and that it meets the expectations of APRA. 

The chart below summarises the Board’s skills and competencies as assessed in November 2025. Our assessment highlights the need to ensure the key skillsets of Banking and Financial Accounting and Audit are retained at expert levels. Accordingly, our call for nominations is targeted to these key skillsets and candidates of the highest calibre are sought.

Requirements for nomination.

The Board of BBA is skills-based and is committed to maintaining a composition that collectively provides the experience and capabilities required for effective governance. APRA has emphasised the importance of ensuring directors possess the skills, experience and judgement necessary to discharge their duties. 

BBA is a significant financial services organisation operating in the mutual sector. The Board seeks candidates of a high calibre who will contribute to maintaining a strong and fit-for-purpose governance framework. 

For this election, the Nomination Committee will focus on candidates who demonstrate strong capability in mutual governance, financial accounting and banking, together with significant experience in governance, leadership and strategic oversight within financial services, supported by strong business acumen and transformation experience. 

In addition, candidates should possess capability in financial accounting and audit within financial services, together with experience in two or more of the following areas: 

•    Financial Services Risk Management;
•    Strategic Planning;
•    Business and Commercial Experience;
•    Financial Accounting and Audit;
•    Corporate and Financial Governance;
•    ESG;
•    Risk Management;
•    People Management;
•    Stakeholder Engagement and Marketing; and
•    Legal.


Fit and proper.

BBA, being an authorised deposit-taking institution (ADI), is subject to APRA’s Prudential Standard CPS 520 Fit and Proper (F&P Standard). The F&P Standard sets out the minimum requirements that ADIs must apply in determining the fitness and propriety of individuals who hold positions of responsibility with the ADI which includes directors.  

In assessing whether a person is fit and proper, BBA will consider whether they possess the experience, skills, competence, character, diligence, honesty, integrity and judgement required to perform the role of director. 


Financial Accountability Regime.

The Financial Accountability Regime (FAR) was introduced in September 2023.  

FAR imposes a responsibility and accountability framework for entities in the banking, insurance and superannuation industries and their directors and senior executives.  The FAR recognises that it is the actions of the directors and the most senior and influential executives within a business that shape the conduct of the business itself. The regime is intended to strengthen and clarify individual accountability within regulated entities. 

Any appointment will be subject to APRA registering the successful candidate as an accountable person. 


Corporations law.

BBA is also subject to the requirements of the Corporations Act 2001 (Cth) (Corporations Act) which, together with a number of common law obligations and prudential requirements, imposes specific duties and significant responsibilities and accountability on directors. 


Nomination process.

In accordance with BBA’s Constitution, every candidate must submit to an interview by the Nomination Committee. The role of the Nomination Committee is to assess each candidate and determine whether it is satisfied that the person is fit and proper and, as part of this assessment, has demonstrated an ability to be a director against the Model Criteria and Board Skills and Aptitudes Matrix. 

Members considering nomination should familiarise themselves with the duties imposed on directors by the general law and by the Corporations Act, and also BBA’s Constitution.

Beyond Bank, one of Australia’s largest customer-owned banks, has signaled its intention to merge with First Choice Credit Union (FCCU), based in Orange, New South Wales. The two entities will now move ahead with merger planning ahead of a vote by First Choice Credit Union’s 4000 members toward the end of 2023.
